("MQY"), 373 Series W-7 Variable Rate Demand Preferred Shares ("VRDP Shares") of the Issuer beneficially owned by Wells Fargo Bank, N.A. ("WFBNA") were exchanged for an equal number of VRDP Shares of MQY in a cashless transaction. The 373 shares reported as disposed of in Table I represent shares that were beneficially owned by WFBNA.
