1. Represents the sale price of $3.60 Cdn. as converted into U.S. dollars using the noon rate of exchange of the Bank of Canada on the date of sale. |
2. These shares were held by a member of Mr. Bolouri's immediate family residing in his household. Mr. Bolouri disclaims beneficial ownership of such shares. |
3. 5,035.19 company stock fund units are held in the participant's account as a result of the participant's contributions, vested company contributions and/or investment earnings thereon invested in the company stock fund (the "Stock Fund") pursuant to the Nortel Networks Limited Investment Plan for Employees - Canada (the "Canadian Investment Plan") as of August 31, 2005. The Stock Fund invests primarily in NNC common shares. As of August 31, 2005, the participant's company stock fund units represent approximately 95,155.90 common shares of NNC. The Canadian Investment Plan is administered as a unitized fund by Sun Life Assurance Company of Canada and the number of shares represented by each unit fluctuates on a daily basis. |
4. 325.81 company stock fund units are held by a member of Mr. Bolouri's immediate family residing in his household as a result of investment earnings thereon invested in the company stock fund (the "Choices Stock Fund") pursuant to the Program Collectif Options (the "Sun Life Choices Program") as of August 31, 2005. The Choices Stock Fund invests primarily in NNC common shares. As of August 31, 2005, the company stock fund units held by a member of Mr. Bolouri's immediate family represent approximately 6,000.84 common shares of NNC. The Sun Life Choices Program is administered as a unitized fund by Sun Life Assurance Company of Canada and the number of shares represented by each unit fluctuates on a daily basis. Mr. Bolouri disclaims beneficial ownership of such shares. |

6. These replacement options were granted pursuant to the Key Contributor Program under the 1986 Stock Option Plan. Under the terms of Key Contributor Program, a Participant is granted concurrently an equal number of initial options and replacement options.
