(the “Company”) closed its offering of $750,000,000 aggregate principal amount of its 5.625% Notes due 2032 pursuant to a
purchase agreement dated October 3, 2022 entered into by and among the Company, Barclays Capital Inc., Citigroup Global Markets Inc.,
J.P. Morgan Securities LLC and Mizuho Securities USA LLC, as representatives of the underwriters.
