On July 17, 2008 Merchants Bancshares, Inc. (the "Company") issued a press release announcing that its Board of Directors had declared a quarterly dividend of 28 cents per share on the Company's common stock. A copy of that press release, which is incorporated herein by reference, is included as Exhibit 99.1 to this Current Report on Form 8-K.

(d)    On July 17, 2008, the Board of Directors (the "Board") of the Company elected Karen Danaher, CPA, PFS, as a director of the board of directors of the Company's main operating subsidiary, Merchants Bank, effective August 21, 2008.
On July 17, 2008, the Company issued a press release relating to the above matters. A copy of the press release is being filed as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference.
