Section 1 - Conflict Minerals Disclosure

Item 1.01 Conflict Minerals Disclosure and Report

Electro Scientific Industries, Inc., including its subsidiaries (ESI), is a leading supplier of innovative laser-based manufacturing solutions for industries reliant on microtechnologies. ESI enables its customers to commercialize technology using precision laser processes. ESI's solutions produce the industry's highest quality and throughput, and targets the lowest total cost of ownership. Founded in 1944, ESI is headquartered in Portland, Oregon, with global operations and subsidiaries in Asia, Europe and North America.

ESI has evaluated its product lines for the year ending December 31, 2017 in accordance with Rule 13p-1 under the Securities Exchange Act of 1934 and the Security and Exchange Commission’s adopting release (collectively, the Rule), and in accordance with ESI’s Conflict Minerals Policy Statement. That statement is also publicly available on our website at http://investors.esi.com/corporate-governance.

After ESI reviewed its product lines to make an initial determination of whether it manufactured or contracted to manufacture products as to which “conflict minerals” (as defined in the Rule) were necessary for the functionality or production of the product, ESI conducted a “reasonable country of origin inquiry” (RCOI) consistent with the Rule. ESI’s RCOI employed a combination of measures to determine whether the necessary conflict minerals in its products originated from the Democratic Republic of the Congo and its adjoining countries (as defined in the Rule, Covered Countries). ESI’s primary means of determining country of origin of necessary conflict minerals was by conducting a supply-chain survey with direct suppliers using the EICC/GeSI Conflict Minerals Reporting Template. To identify and assess risk in the supply chain, ESI reviewed those suppliers who provide the substantial majority of our components and whose products the Company believes are likely to contain conflict minerals. The components provided by these suppliers represented approximately 80% of component costs incurred by the Company during 2017. ESI conducted a survey of suppliers to determine whether conflict minerals necessary to the functionality or production of components contained in our products were or were not sourced from the DRC or other Covered Countries (as defined in the Rule). We utilized a third-party service provider to administer components of this due diligence with appropriate oversight by ESI. Additionally, ESI used the Conflict Free Smelter Initiative (CFSI) website (http://www.conflictfreesourcing.org/), smelter company websites and other online tools to provide additional country of origin information.

ESI has concluded that during calendar 2017:

ESI has manufactured or contracted to manufacture products as to which conflict minerals are necessary to the functionality or production of ESI’s products.
b.
Based on ESI’s RCOI, ESI knows or has reason to believe that a portion of its necessary conflict minerals originated or may have originated in a Covered Country, and is unable to determine that those necessary conflict minerals did not come from recycled or scrap sources.

Electro Scientific Industries Inc., collectively with its subsidiaries (ESI), presents this report for the year ended December 31, 2017 to comply with Rule 13p-1 under the Securities Exchange Act of 1934 and the Security and Exchange Commission’s adopting release (the “Rule”).

We have decided to conduct due diligence of our supply chain based on our (1) review of our product lines, (2) determination of which suppliers have a meaningful risk of supplying components that contain conflict minerals (as defined in the Rule) that are necessary to the functionality or production of the products we manufacture or contract to manufacture, and (3) reasonable country of origin inquiry described in our Specialized Disclosure Report to which this report accompanies.

Our due diligence measures have been designed to conform, in all material respects, with the framework in the Organization for Economic Co-operation and Development (OECD) Due Diligence Guidance for Responsible Supply Chains of Minerals from Conflict-Affected and High-Risk Areas (OECD 2016 Framework) and related Supplements for gold, tantalum, tin and tungsten.

Our supply chain is complex and there are multiple tiers between ESI and the mines. We rely on our suppliers to provide information on the origin of the conflict minerals contained in components which are included in our products. To identify and assess risk in the supply chain, we engaged those suppliers who provide the substantial majority of our components or whose products we believe are likely to contain conflict minerals. The components provided by these suppliers represented approximately 80% of component costs incurred by us during 2017. We conducted a survey of suppliers to determine whether conflict minerals necessary to the functionality or production of components contained in our products were or were not sourced from the DRC or other Covered Countries (as defined in the Rule). We utilized a third-party service provider to administer components of this due diligence with appropriate oversight by ESI. The survey requested suppliers to provide the country of origin of any conflict minerals and the facilities used to process these minerals.

Our products for which conflict minerals are necessary to the functionality or production include, but are not limited to, laser ablation products, laser processing system products, microfabrication products, laser component products, laser fuse processing products, laser trimming products, vision products, wafer dicing products, wafer mark products, electrical tester products, inspection products, tooling products, pyroflex products and solar market application products.

We received responses from approximately 90% of the suppliers surveyed containing the names and locations of smelters and refiners which process conflict minerals used in components provided by our suppliers. We reviewed and compared the responses with other information in our possession or publicly available to confirm the information and, where appropriate, made further inquiries of our suppliers. The initial and subsequent responses from suppliers contained sufficient information to determine the country of origin for the large majority, but not all, of the conflict minerals in our products.

Certain survey respondents indicated that the country of origin for tantalum, tin, and tungsten may include the Democratic Republic of the Congo (DRC). These same respondents were smelters who have been audited and registered as conflict free by the Conflict Free Smelter Initiative (CFSI), which is internationally recognized for conflict free smelter audits. Based on the results of our inquiries, we were unable to determine whether the gold used in our products was sourced from any Covered Countries.

We expect to take the following steps to mitigate the risk that the necessary conflict minerals in our products do not benefit armed groups in the DRC or any Covered Countries, including:

Attempting to increase the response rate of suppliers and improve the content of the responses.

Attempting to validate supplier responses using information collected via independent conflict free smelter validation programs such as the EICC/GeSI Conflict Free Smelter Program.
