Appointment of Principal Officers.

On February 28, 2005, Patrick G. Ryan provided Tribune Company with written notice of his decision not to stand for re-election as a Tribune Company director at the Tribune Company 2005 Annual Meeting of Shareholders to be held on May 18, 2005. Mr. Ryan, 67, has served as a Tribune Company director since 1997.
