                                      NARRATIVE

The Company completed an acquisition during the fiscal year ended December 31,
2000. The Company acquired a business located in California. The Company's
headquarters, and its continuing business is located in Arizona. The Company is
integrating and consolidating its California and Arizona operations, including
its financial accounting systems. That process is taking longer than
anticipated. As a result, the audit is delayed.

                                 Annex 1

On May 31, 2000, CRL Systems Inc., a wholly-owned subsidiary of the Company
acquired the net assets of Orban, Inc., a wholly-owned subsidiary of Harman
International Industries, Inc. (the "Orban Business"). In 1999, on a pro-forma
basis, the total revenues of the Orban Business were more than 10 times greater
than the Company's actual revenues for 1999 (see Form 8-K/A filed on November
20, 2000). At this time, the Company can not predict the results of operations
on a consolidated basis for the year 2000.
