in the first 12 months, &lt;/font&gt;&lt;font style="font-family:inherit;font-size:10pt;color:#000000;text-decoration:none;"&gt;106%&lt;/font&gt;&lt;font style="font-family:inherit;font-size:10pt;"&gt; in months 13-24, &lt;/font&gt;&lt;font style="font-family:inherit;font-size:10pt;color:#000000;text-decoration:none;"&gt;104%&lt;/font&gt;&lt;font style="font-family:inherit;font-size:10pt;"&gt; in months 25-30, and at par thereafter of the Principal Amount plus interest accrued thereon.&amp;#160;&amp;#160;Such payments shall be pro-rata unless otherwise determined by the Note holders.&amp;#160;&amp;#160;In the event that the Company issues primary shares in a public offering at an offering price above &lt;/font&gt;&lt;font style="font-family:inherit;font-size:10pt;color:#000000;text-decoration:none;"&gt;$1.25&lt;/font&gt;&lt;font style="font-family:inherit;font-size:10pt;"&gt; per share, the Company may use up to &lt;/font&gt;&lt;font style="font-family:inherit;font-size:10pt;color:#000000;text-decoration:none;"&gt;33%&lt;/font&gt;&lt;font style="font-family:inherit;font-size:10pt;"&gt; Notes may, at any time at the option of the holder thereof, be converted into shares of the Company's common stock at a conversion price equal to &lt;/font&gt;&lt;font style="font-family:inherit;font-size:10pt;color:#000000;text-decoration:none;"&gt;$1.25&lt;/font&gt;&lt;font style="font-family:inherit;font-size:10pt;"&gt; The Company has determined that, due to the nature of the "down round" protection, the conversion feature is an embedded derivative in accordance with ASC 815-15-25, &lt;/font&gt;&lt;font style="font-family:inherit;font-size:10pt;font-style:italic;"&gt;Derivatives and Hedging.&lt;/font&gt;&lt;font style="font-family:inherit;font-size:10pt;"&gt; The embedded derivative has been bifurcated from the host contract and recorded at its fair value.  The fair value of the embedded derivative has been determined utilizing the Binomial Lattice Model in accordance with ASC 820-10, &lt;/font&gt;&lt;font style="font-family:inherit;font-size:10pt;font-style:italic;"&gt;Fair Value Measurements.  &lt;/font&gt;&lt;font style="font-family:inherit;font-size:10pt;"&gt;The fair value of the embedded derivative when issued was &lt;/font&gt;&lt;font style="font-family:inherit;font-size:10pt;color:#000000;text-decoration:none;"&gt;$6,662&lt;/font&gt;&lt;font style="font-family:inherit;font-size:10pt;"&gt;, which was recorded as stock compensation cost and included in Selling, general and administrative expense in the Consolidated Statements of Operations due to the fact that the &lt;/font&gt;&lt;font style="font-family:inherit;font-size:10pt;color:#000000;text-decoration:none;"&gt;8%&lt;/font&gt;&lt;font style="font-family:inherit;font-size:10pt;"&gt; Notes are owned 100% by an executive officer of the Company.  The embedded derivative was marked to market at June 30, 2013 to a fair value of &lt;/font&gt;&lt;font style="font-family:inherit;font-size:10pt;color:#000000;text-decoration:none;"&gt;$3,870&lt;/font&gt;&lt;font style="font-family:inherit;font-size:10pt;"&gt;.
