Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers. 

Domenick Propati and Jon H. Peterson

On February 9, 2009, Domenick Propati provided notice of his resignation from Merisel, Inc. (“Merisel”), where he currently serves as Executive Vice President, Chief Client Officer.  His resignation will be effective on February 27, 2009.

On February 10, 2009, Jon H. Peterson and Merisel mutually agreed to terminate their employment relationship.  Mr. Peterson currently serves as Executive Vice President and Chief Financial Officer.  His employment with the Company will terminate effective April 30, 2009.
