("Company"), Square D Company ("Square D"), and Hera Acquisition Corp. ("Hera"), on August 24, 2005, the Company was merged with and into Hera (the "Merger"). As a result all of the Reporting Person's common stock were converted into the right to receive $44.00 per share in cash.
