ITEM 5.02 - DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS

On March 25, 2008, the Board of Directors (the “Board”) of State Bancorp, Inc. (the “Company”) accepted Director Daniel T. Rowe's offer to resign from the Board.  Mr. Rowe offered his resignation in compliance with the Company's Corporate Governance Guidelines which require a director who is also an officer of the Company to offer to resign from the Board when such director ceases to be an officer of the Company.  Mr. Rowe's resignation is effective as of the Company's 2008 annual meeting of stockholders on April 29, 2008.
