Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

In accordance with the company's mandatory retirement age for directors as set forth in the Nordson Corporation Governance Guidelines, on May 24, 2005 Dr. Glenn R. Brown retired from the Board of Directors of Nordson Corporation. With Dr. Brown's retirement, the Board of Directors now consists of eleven directors, nine of which are independent. There are presently no plans to elect another director to the Board to fill the vacancy created by Dr. Brown's retirement.
