PART III--NARRATIVE

State below in reasonable detail the reasons why the Form 10-K, 20-F, 11-K, 10-Q, N-SAR, or the transition report or portion thereof, could not be filed within the prescribed time period.

On February 21, 2001, the Registrant filed a petition for reorganization pursuant to Chapter 11 of the United States Bankruptcy Code 11U.S.C., Section 101, et seq. as case number 11-01-11160MA in the United States Bankruptcy Court, District of New Mexico, Albuquerque, New Mexico. On March 6, 2001, the Registrant petitioned the Bankruptcy Court to approve Meyners + Company, LLC to act as its certifying public accountant. Upon receipt of the Bankruptcy Court's approval to engage Meyners + Company, LLC actions will be immediately taken to prepare and file the Form 10-K for the year ended December 31, 2000 as soon as possible.
