Item 7.01. Regulation FD Disclosure.


On November 15, 2004, AMC Entertainment Inc. ("AMCE") announced that it has completed an offer to exchange its 8% Senior Subordinated Notes due 2014, which were sold in February 2004 pursuant to Rule 144A and Regulation S of the Securities Act of 1933, as amended (the "Securities Act"), for an equal amount of newly issued 8% Exchange Senior Subordinated Notes due 2014.  The offer expired and was completed at 5:00 p.m. New York City time on November 15, 2004.


On November 15, 2004, AMCE issued a press release relating to the completion of the exchange offer. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference. This press release may also be found on AMCE's website at www.amctheatres.com under "Investor Resources."
