Item 2.02. Results of Operations and Financial Condition.

On May 7, 2008, Memry Corporation (“Memry”) announced its financial results for the quarter ended March 31, 2008 by issuing a press release. The press release also announced Memry’s conference call scheduled for May 8, 2008 to discuss these results. The full text of the press release issued in connection with the announcement is furnished as Exhibit No. 99.1 to this Current Report on Form 8-K.
