In this regard, we note the Form 8-K filed June 12, 2006, suggests all the series C preferred shares were issued to Roaring Fork Capital SBIC L.P., however the proxy statement reflects on page 16 the issuance of only 500 shares. If true, it would appear there are approximately 1450 series C preferred shares currently available for payments-in-kind.
