The following statement supplements the information on Page 8, in the last sentence of Paragraph 2, under the heading “Section 16(a) Beneficial Ownership Reporting Compliance” of the enclosed proxy statement:

With the exception that Thomas L. Fisher, our former Chairman of the Board and Chief Executive Officer, inadvertently filed a late report on Form 5 with respect to shares of Nicor Common Stock he donated on December 5, 2005 to a charitable organization. The Form 5 relating to this transaction was filed on March 8, 2006, the date the omission was discovered.
