Explanation of Responses:
1. Restricted stock units convert into common stock on a one-for-one basis.
2. The reporting person disclaims beneficial ownership of these securities, and the filing of this report is not an admission that the reporting person is the beneficial owner of these securities for purposes of Section 16 or for any other purpose.
3. Includes shares of common stock acquired under the reporting person's Employee Stock Ownership Plan (ESOP) account through December 8, 2014.
4. The reporting person is the trustee of the Trust and holds a remainder interest therein. The reporting person disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein.
5. Each restricted stock unit represents a contingent right to receive, upon vesting of the award: (i) one share of common stock, and (ii) accrued cash in lieu of dividends.
6. Award of restricted stock units as portion of annual bonus under 2012 Stock Incentive Plan.
Remarks:
This Form 4 reports (i) the vesting of Restricted Stock Units (RSUs) awarded to the reporting person on 12/15/2011 with a cash payment by the reporting person to the issuer to cover tax liability in connection with such vesting, (ii) the award of RSUs as a portion of the annual bonus to the reporting person under the issuer's 2012 Stock Incentive Plan, and (iii) a gift of shares by the reporting person.
