Item 7.01 - Regulation FD Disclosure.
S&T Bancorp, Inc. (“S&T”) expects its second quarter of 2018 results will be negatively affected by a credit loss arising from a participation loan agreement with a lead bank and other participating banks, all of which extended multiple credit facilities to a single, large commercial customer. The loss resulted from fraudulent activities believed to be perpetrated by one or more executives employed by the borrower and its related entities. S&T’s total exposure consists of the participation loan of $4.9 million and a direct exposure of $950 thousand which is secured by vehicles and equipment liens. S&T is continuing to evaluate the matter and currently estimates that the loss will be in the range of $4.5 million to $5.4 million.
The information in this Current Report on Form 8-K is being furnished under Item 7.01 and shall not be deemed to be "filed" for purposes of Section 18 of the Securities Exchange Act of 1934 (the "Exchange Act") or otherwise subject to the liabilities of such section, nor shall such information be deemed incorporated by reference in any filing under the Securities Act of 1933 or the Exchange Act, except as shall be expressly set forth by reference in such a filing.
