Item 8.01. Other Events.

On February 21, 2008, Schawk, Inc. (the “Company”) announced that its Board of Directors approved a stock repurchase program for the purchase of up to 2,000,000 shares of the Company’s common stock.  The share repurchases may occur from time to time through open market purchases, privately negotiated transactions or transactions structured through investment banking institutions, as permitted by applicable laws, rules and regulations.  A copy of the press release regarding the Company’s announcement is attached to this report as Exhibit 99.1 and is incorporated herein by reference.
