. COMMITMENTS AND CONTINGENCIES

We are committed to minimum purchases of

$700,000

of Selan® skin care products per calendar year for each calendar year through

2020.

For the fiscal years ended

2016,

2015,

and

2014,

purchases under this commitment were

$829,000,

$823,000

and

$898,000,

respectively. In addition to the minimum purchase requirements, we are required to pay a fee of

$30,000

per year to license the Selan products.

From time to time we are defendants in legal actions involving claims arising in the normal course of business. We believe that, as a result of legal defenses and insurance arrangements with parties we believe to be financially capable, none of these actions, if determined adversely, should have a material adverse effect on our operations or financial condition.
