Explanation of Responses:
1. All sales are made pursuant to Stock Sales Plan, dated April 23, 2005, entered into pursuant to the requirement of Rule 10b5-1, adopted pursuant to the Securities Exchange Act of 1934, as amended.
2. Typing error showed a total of 143,547. Now correctly states 143,541.
Remarks:
This Form 4 amends: 1) Table I - added a transaction for an acquisition of 18,700 shares; and 2) Table II, Column 5, Number of Derivative Securities Acquired and Column 7, Title and Amount of Underlying Securities - misstated the number of shares, which are now correctly stated as 18,986.
