Item 8.01 Other Events.

On October 11, 2007, the Registrant issued a press release announcing that the Registrant and its wholly-owned subsidiary Titan Supply Chain Services Corp. were named as co-defendants in a shareholder class action commenced against Vitesse Semiconductor Corp., the Registrant, Titan and others by a group of Vitesse shareholders. A copy of the Registrant’s press release is attached hereto as Exhibit 99.1.
