Item 2.02 Results of Operations and Financial Condition.

As provided in the indenture for The Dress Barn, Inc. 2.50% Convertible Senior Notes due 2024 (the “Notes”), for the period from October 26, 2009 and continuing through January 22, 2010, the holders of the Notes are permitted to convert their notes.  This is a result of our stock price closing above the trigger price of $12.61 per share for the minimum of twenty trading days within the last thirty trading day period ended on October 24, 2009.  The Notes have been convertible since July 27, 2009 and none of the Notes have been presented for conversion to date.

The information in the Item 2.02 of Form 8-K shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934 (the “Exchange Act”) or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933 or the Exchange Act, except as expressly set forth by specific reference in such filing.
