Item 5.02.Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 23, 2020 the Board of Directors (the “Board”) of Hexcel Corporation (the “Company”), upon the recommendation of the Compensation Committee of the Board, extended the previously disclosed 50% base salary reduction for the Company’s Chairman, Chief Executive Officer and President for an additional three month period.

 

Item 8.01Other Events.

In addition, the Board, upon the recommendation of the Compensation Committee of the Board, also continued the previously disclosed 50% reduction of cash retainer fees of the non-employee directors of the Company, including the value of any restricted stock units any non-employee director has elected to receive in lieu of cash retainer, for the third quarter of 2020.
