ITEM 5.03 Amendments to Articles of Incorporation; Change in Fiscal Year.

         (a) Effective August 15, 2005 the Registrant caused its Articles of
Incorporation to be amended as follows:

          "Article FIRST of the Restated Articles of Incorporation, filed with
          the office of Secretary of State of the State of Nevada on March 21,
          2005 is deleted in its entirety and the following is added:

                     'FIRST: The name of the corporation is:
                            Deli Solar (USA), Inc.'"

         (b) Effective August 15, 2005 the number of the authorized shares of
Registrant's common stock (par value $0.001 per share) was decreased from
400,000,000 shares to 66,666,667 shares. The par value of each share remained
the same.
