On 2/19/2015, 3,017 shares of Class A Common Stock were issued to Mr. Barksdale. The balance (2,767 shares) were withheld to satisfy certain tax withholding obligations related to the vesting of the restricted stock units. Each restricted stock unit represents the contingent right to receive one share of Class A Common Stock upon vesting of the unit. Mr. Barksdale resigned effective January 30, 2015, and as a consequence the outstanding awards were forfeited in accordance with their terms The restricted stock units vest as follows: 100% on 1/1/2016 subject to the recipient's continued employment through the vesting date.
