Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective September 23, 2009, Gerard F. Griesser was elected as director of the registrant and its subsidiary, DNB First, National Association. Since 1985 he has served as a Principal of Prudential Fox & Roach Realtors, The Trident Group and ETC Inc. He will serve in the class of directors whose term expires in 2011.

Item 8.01. Other Events.
 
On September 23, 2009, DNB Financial Corporation and its wholly owned subsidiary, DNB First, National Association, announced the election of Gerard F. Griesser as a director of the registrant and DNB First, National Association.  A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
