Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 30, 2008, Ronald K. Dankanich, the Secretary and Executive Vice President-Operations Division of DNB Financial Corporation (“DNB”) and its wholly owned subsidiary, DNB First, National Association (the “Bank”), submitted his resignation to DNB’s board of directors effective July 18th, 2008.
