Item 1.01. Entry into a Material Definitive Agreement.

On, July 26, 2006 the Board of Directors of DNB Financial Corporation and DNB First, National Association (collectively, the “Company”) approved an increase in base salary for Richard J. Hartmann, the Company's Executive Vice President in charge of its Retail Banking Division. Mr. Hartmann's salary was increased to $120,000, and will become effective as of August 1, 2006.
