The Registrant's annual meeting of shareholders was held on May 27, 2008. The terms of two long-standing directors - Paul Lomakin, Jr. and Herbert Schiller - ended as of the shareholders' meeting. Both Mr. Lomakin and Mr. Schiller chose not to stand for re-election in connection with their respective retirements.
