(b) On June 16, 2022, James R. Smail, Chairman of the Board of Directors of Farmers National Banc Corp. (the “Company”), tendered his resignation effective immediately. Mr. Smail also resigned as the Chairman of the Board of Directors of Farmers Trust Company, a wholly-owned subsidiary of the Company. Mr. Smail’s decision to resign is not because of a disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
