Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 16, 2023, First Financial Bancorp. (the “Company”) announced that John Gavigan, Chief Operating Officer, will separate from the Company on April 1, 2023. Mr. Gavigan’s separation from employment will be treated as a terminated without “Cause” for purposes of his Severance and Change in Control Agreement with the Company and he will receive severance payments and benefits in accordance with the terms of that agreement.

Effective April 1, 2023, James M. Anderson, currently the Chief Financial Officer of the Company, will become the Chief Financial Officer and Chief Operating Officer of the Company. Information about Mr. Anderson is available in the Company’s Proxy Statement, available at www.sec.gov.
