Prior to the reverse split and the sale of shares, Mr. Lawler owned directly in his name 221,842 shares. These shares were acquired by conversion of 866,667 shares of the Issuer's Class C common stock into shares of Class A common stock at a rate of 6 to 1. The Class C shares were acquired by International Securities Group Inc. on November 7, 2001. These shares are held in the name of International Securities Group Inc. of which Mr. Lawler is sole owner.
