Explanation of Responses:

1. This transaction was not previously reported on Form 4 due to the fact that the transaction did not exceed $10,000. When considered with the current exercise of stock options, the total of the two transactions do exceed this amount. As such, both are being reported on this Form 4.

2. The composition of beneficial ownership as of 6/19/08 follows. This transaction (as well as the one being reported from 4/1/08) impacted the number of shares owned directly by Teresa W. Knight. 21,190 shares owned directly by Teresa W. Knight 2,120 shares owned directly by Teresa W. Knight and her husband 8,910 shares owned directly by Teresa W. Knight held in her 401k
