Item 1.02 Termination of a Material Definitive Agreement.

On November 9, 2005, Omega Financial Corporation provided notice to Maureen Bufalino, Regional President of Omega Bank, that her employment contract would not be renewed when it expires, January 12, 2006. After January 12, 2006, Ms. Bufalino is expected to remain as an employee at will on a part-time basis. Ms. Bufalino serves on the Board of Directors of Omega Financial Corporation and its subsidiary, Omega Bank.
