Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On August 22, 2005, Teresa M. Ciambotti, age 44, was appointed Senior Vice President, Corporate Controller and Director of Investor Relations of Omega Financial Corporation. In this position, Ms. Ciambotti will also serve as the principal accounting officer.

Ms. Ciambotti was promoted from senior vice president and corporate treasurer and has been with the Corporation since 1983, during which time she has also served as an internal auditor, assistant treasurer and funds manager.

Ms. Ciambotti received a Bachelor of Science degree in Accounting from the Pennsylvania State University. She is a chartered financial analyst.
