Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

JoAnn N. McMinn has resigned from her position as Senior Vice President, Corporate Controller and Director of Investor Relations of Omega Financial Corporation. Ms. McMinn has served the Corporation as the principal accounting officer and is leaving for a career advancement opportunity. The resignation is effective as the close of business on August 19, 2005.
