Corporation ("FNB") and Omega Financial Corporation ("Omega"), as a result of the merger of Omega into FNB effective as of April 1, 2008, each share of Omega common stock was cancelled and converted into the right to receive 2.022 shares of FNB common stock and cash in lieu of fractional shares. The closing price of FNB common stock on April 1, 2008 was $16.22 per share. Pursuant to the Merger Agreement, as a result of the merger of Omega into FNB effective as of April 1, 2008, each option to purchase shares of Omega common stock was converted in the merger into an option to purchase that number of shares of FNBcommon stock (rounded down to the nearest whole number of shares) equal to the number of shares of Omega common stock subject to the option multiplied by 2.022 at an exercise price (rounded up to the nearest whole cent) equal to the exercise price of the Omega stock option divided by 2.022.
