Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 21, 2023, the Board of Directors (the “Board”) of Southside Bancshares, Inc. (the “Company”) appointed William Sheehy as Director Emeritus, effective January 1, 2024. Mr. Sheehy served on the Board from 1983 until his retirement at the 2023 Annual Meeting of Shareholders.

In addition, on December 21, 2023, the Board appointed Herbert C. Buie as Director Emeritus, effective as of the 2024 Annual Meeting of Shareholders (the “2024 Annual Meeting”). Mr. Buie will retire from the Board effective upon the expiration of his term at the 2024 Annual Meeting, scheduled for May 15, 2024, in accordance with the mandatory age requirement set forth in the Company's Director Departure Policy. Mr. Buie has served on the Company's Board since 1988.

As Directors Emeritus, Mr. Sheehy and Mr. Buie will be non-voting and non-compensated members of the Board, and will also serve as Directors Emeritus on the Board of Directors of Southside Bank, a subsidiary of the Company.
