Item 5.02Departure of Directors of Principal Officers; Election of Directors; Appointment of Principal Officers.

On April 11, 2005, Vincent P. Small, Jr. notified Harleysville National Corporation (the “Corporation”) that he was resigning as a director effective April 13, 2005.

A copy of the financial presentation is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
