Item 5.03.  Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

This Amendment to the Form 8-K filed on August 10, 2007, includes the entire Amended and Restated Bylaws which were excluded from the original file.  Amended Article 24, Section 24.1 and 24.2 of the Bylaws was the only Article included with the filing.  This will amend the filing to include the entire Amended and Restated Bylaws of the Corporation.

On August 9, 2007, the Registrant amended Article 24, Sections 24.1 and 24.2 of its Bylaws to provide for uncertificated shares.

The Amended and Restated Bylaws are attached hereto as Exhibit 3.1 and are incorporated in this Item 5.03 by reference.
