Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.
 
On September 26, 2006, the Registrant issued a press release announcing the appointment of Demetra Takes as Interim President and Chief Executive Officer of the Registrant and the departure of Gregg J. Wagner as President, Chief Executive Officer and Director of the Registrant. Ms. Takes, age 55, currently serves as Executive Vice President and Director of the Registrant positions she has held since 2005. She also serves as President and Chief Executive Officer of Harleysville National Bank, the Registrant’s wholly-owned subsidiary since 2000. The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
