Item 5.02Departure of Directors of Principal Officers; Election of Directors; Appointment of Principal Officers

Effective January 8, 2006, William M. Yocum retired from the Registrant’s board of directors upon reaching the mandatory retirement age of 72 in accordance with the Registrant’s bylaws.  Mr. Yocum now serves as a director emeritus to the Registrant.
