Explanation of Responses:
1. Shares acquired pursuant to the Six Flags Entertainment Corporation Employee Stock Purchase Plan in a transaction under Rule 16b-3(c).
2. All shares are fully vested except for 42,858 shares which vest in four equal installments on each of the first four anniversaries of September 7, 2010, if the reporting person has been continuously employed with the Issuer through such date, subject to accelerated vesting in certain events, including certain terminations or upon a change in control, or as provided for by the Compensation Committee of the Issuer's Board of Directors.
3. The reporting person dislcaims beneficial interest in such shares except to the extent of his pecuniary interest therein.
4. The options are granted subject to stockholder approval of an amendment to the Issuer's Long-Term Incentive Plan to increase the number of shares available under that plan. One-third of the options will vest on each of the first three anniversaries of August 24, 2011, if the reporting person has been continuously employed with the Issuer through such date, subject to accelerated vesting in certain events, including certain terminations or upon a change of control, or as provided for by the Compensation Committee of the Issuer's Board of Directors.
