On October 6, 2010, National Penn Bancshares, Inc. made a webcast presentation of information on its investment agreement made with Warburg Pincus. Upon conclusion of the presentation, National Penn conducted a question and answer session on the webcast. A transcript of the webcast and the question and answer session (which has been edited for clarity) is furnished in this report, pursuant to this Item 7.01, as Exhibit 99.1.  No part of this report shall be deemed incorporated by reference into any registration statement filed under the Securities Act of 1933.
