Explanatory Note

National City Corporation is filing this Amendment No. 1 on Form 10-K/A to amend our annual report on Form 10-K for the year ended December 31, 2007, filed on February 13, 2008. This amendment is being filed solely to identify on the signature page that Thomas A. Richlovsky is the Principal Accounting Officer for the corporation, as that designation was inadvertently omitted.

This amendment is being filed in response to a comment we received from the staff of the Division of Corporation Finance of the Securities and Exchange Commission in connection with the staff’s review of our annual report on Form 10-K for the year ended December 31, 2007 and our Preliminary 14A filed on May 12, 2008. We have made no attempt in this amendment to modify or update the disclosures presented in those original filings other than as noted herein.
