Item 5.02     Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 26, 2023, Markus Limberger resigned his position as Executive Vice President, Operations of Enerpac Tool Group Corp. effective December 1, 2023, when by mutual agreement he will be put on leave but remain an employee, at the same salary and with the same benefits, through his contractual notice period, until March 31, 2024.
