Business Combination

On September 24, 2013, Applied and TEL entered into a Business Combination Agreement, which was intended to effect a strategic combination of their respective businesses into a new combined company, and was subject to regulatory approvals. On April 26, 2015, Applied and TEL announced that they had mutually agreed to terminate their previously announced Business Combination Agreement, which had been intended to effect a strategic combination of their respective businesses into a new combined company. No termination fee is payable by either Applied or TEL.
