Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On February 28, 2014, Eugene C. Fiedorek notified the board of directors (the “Board”) of his retirement from his position as a director of the Company, effective as of the close of business on February 28, 2014. Mr. Fiedorek was a member of the Audit Committee. In the letter notifying the Company of his retirement, Mr. Fiedorek indicated that he did not have any disagreement with the Company or its management on any matter relating to the Company’s operations, policies, or practices. Mr. Fiedorek has served on the Board since 1988.
